Point 1 seems okay. A refereeing team that makes decisions would be fine. The laws of the game should be adapted to this rule too (for example, if a goal is disallowed for offside, the action on field should continue, without interruption, and then the video replay seen).
The second point seems a little exaggerated. Teams win if they score goals - you can't just send players off for a yellow card. What, a really good team makes a couple of mistakes during the match, and during extra time you take off their players? That's exaggerating.
Timewasting is also a common problem - we could adopt 2 30mins halves of timed play.
The offside rule is wrong as it is - it's not what it was invented for. I mean - most people who don't understand football think it's ridiculous that Toni's goal was disallowed for offside in the final - maybe the offside rule is becoming somewhat old.
